SOFTWARE LICENSE AGREEMENT

IMPORTANT: READ CAREFULLY BEFORE USING THIS WEBTK SOFTWARE

SUN IS WILLING TO LICENSE THE WEBTK SOFTWARE AND DOCUMENTATION TO
LICENSEE ONLY UPON THE CONDITION THAT LICENSEE ACCEPTS ALL OF THE TERMS
CONTAINED IN THIS LICENSE AGREEMENT.  READ THE TERMS OF THIS LICENSE
AGREEMENT CAREFULLY BEFORE EXECUTING, EXAMINING, OR OTHERWISE USING ANY
OF THE FILES PROVIDED WITH WEBTK.  BY EXECUTING OR USING ANY OF THE
FILES PROVIDED THE LICENSEE AGREES TO THE TERMS OF THIS LICENSE
AGREEMENT.  IF LICENSEE IS NOT WILLING TO BE BOUND BY THE TERMS OF THIS
LICENSE AGREEMENT, LICENSEE AGREES TO DELETE ALL FILES PROVIDED.

1. Licensee is permitted to download and install the WebTk software and
any documentation ("Software") and use, copy, modify, display and
publicly perform the Software internally for evaluation purposes only.
Licensee may make one copy of the Software solely for backup or
archival purposes.  No license is granted to Licensee for any other
purpose.  Licensee may not distribute the Software or Software
derivatives, in whole or in part, to any third party.

2. Licensee may use the Software or Software derivatives to generate
document(s)("Licensee Document"). Sun claims no rights in or to the
Licensee Document. The Licensee Document is not subject to this License
Agreement.

2. This License Agreement expires ninety (90) days from the date of
installation ("Evaluation Period"). At the end of the Evaluation Period
Licensee must destroy the Software and Software derivatives and all
copies of the Software and Software derivatives. If Licensee desires to
obtain a license for the commercial version of the Software, Licensee
may contact Sun or its authorized representative.

3. The Software is owned by Sun or its licensers and is protected by
United States copyright laws and international treaty provisions.  The
Software is confidential and proprietary information of Sun or its
licensers. Licensee agrees to take adequate steps to protect Software
from unauthorized disclosure or use. The Software is not designed or
licensed for use in on-line control equipment in hazardous environments
such as operation of nuclear facilities, aircraft navigation or
control, or direct life support machines.

4. Licensee may not rent or lease the Software. Licensee may not
reverse engineer, decompile or disassemble the Software.

5. THE SOFTWARE IS BEING PROVIDED "AS IS".  SUN MAKES NO WARRANTY OR
REPRESENTATIONS, EITHER EXPRESS OR IMPLED, WITH RESPECT TO THE
SOFTWARE, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, OR
NON-INFRINGEMENT OF THE RIGHTS OF THIRD PARTIES. IN NO EVENT WILL SUN
BE LIABLE FOR ANY DIRECT, INDIRECT,  SPECIAL, INCIDENTAL, OR
CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE
SOFTWARE, SPECIFICALLY, SUN IS NOT RESPONSIBLE FOR ANY COSTS INCLUDING,
BUT NOT LIMITED TO, THOSE INCURRED AS A RESULT OF LOST PROFITS OR
REVENUE, LOSS OF USE OF SOFTWARE OR DATA OR FOR OTHER SIMILAR COSTS.

Some states do not allow the exclusion or limitation of implied
warranties or limitation or liability for incidental or consequential
damages, so the above limitation or exclusion may not apply to
Licensee.

6. The Software is provided with "Restricted Rights".  Use,
duplication, or disclosure by the Government is subject to restrictions
as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data
and Computer Software clause at FARS 52.227-19(c)(2) or its equivalent
paragraph in the DOD Supplement to the FARS. Manufacturer is Sun
Microsystems, Inc., 2550 Garcia Avenue, Mountain View, CA 94043-1100
USA.

7. This License Agreement will be construed under the laws of
California, except the body of laws dealing with conflict of laws. If
any provision of this License Agreement shall be contrary to law, that
provision will be enforced to the maximum extent permissible and that
the remaining provisions of this License Agreement will remain in full
force and effect. Licensee may not export or re-export the Software
without the appropriate United States or foreign government approval.

8. This License Agreement is the entire agreement between Licensee and
Sun relating to the Software and (i) supersedes all prior or
contemporaneous oral or written communications, proposals and
representations with respect to its subject matter; and (ii) prevails
over any conflicting or additional terms of any quote, order, term of
this License Agreement. No modification to this License Agreement will
be binding, unless in writing and signed by a duly authorized
representative of each party.
